The contractual terms that govern access to and use of Upsumi, including published landing pages, lead capture, analytics, domains, integrations, and related services.

These Terms of Service govern your access to and use of Upsumi. By using Upsumi, you agree to these Terms.
If you publish landing pages, collect leads, use domains, or rely on automated content generation through Upsumi, you are responsible for reviewing and approving your configuration, content, notices, and compliance obligations before going live.
1. Acceptance of Terms
These Terms of Service form a binding agreement between you and Upsumi regarding your access to and use of the Upsumi website, application, APIs, published landing pages, related features, and any associated content, software, or services.
If you access or use Upsumi on behalf of a company, client, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to use Upsumi. You agree to provide accurate information, keep your account information current, and maintain the security of your login credentials, devices, and access methods.
You are responsible for all activity that occurs under your account or workspace, including activity by team members, contractors, or anyone you permit to use your credentials or account environment.
3. The Service
Upsumi provides tools for creating, editing, publishing, hosting, localizing, and managing landing pages, collecting and managing leads, reviewing analytics, connecting notifications or integrations, and using automated or AI-assisted drafting and presentation features.
We may modify, improve, replace, suspend, or discontinue any part of the service at any time, with or without notice, subject to applicable law.
4. User Content and Your Responsibilities
You retain ownership of the content you upload, submit, generate, configure, or publish through Upsumi, including text, images, logos, testimonials, claims, pricing, contact details, offers, legal text, and lead form copy.
You grant Upsumi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt, transmit, display, and otherwise process your content as necessary to operate, secure, improve, and provide the service.
You are solely responsible for your content and for the consequences of publishing or using it. You represent and warrant that you have all rights, permissions, notices, and consents necessary to use and publish your content, and that your content and use of the service do not violate any law, contract, intellectual property right, privacy right, publicity right, or other third-party right.
5. Leads, Visitors, and Customer Relationships
Upsumi provides tools that allow you to collect, route, view, and manage lead submissions from visitors to your landing pages. You are solely responsible for your relationship with those visitors and leads, including your communications, offers, follow-up activity, data handling, marketing practices, and any products or services you promote or provide.
Any transaction, dispute, claim, representation, or interaction between you and a visitor, lead, or customer is solely between those parties. Upsumi is not a party to those interactions and is not responsible for customer decisions, visitor responses, service outcomes, payment disputes, or off-platform conduct.
6. Privacy, Notices, and Compliance
You are responsible for ensuring that your use of Upsumi, your landing pages, your forms, your outreach, and your handling of lead data comply with applicable privacy, marketing, consumer protection, accessibility, disclosure, and industry-specific laws.
You must provide your own legally required notices and obtain any legally required permissions or consents from visitors, leads, or customers. If you use Upsumi to collect personal information on behalf of your business or clients, you are responsible for determining the lawful basis and permitted uses for that data.
7. Acceptable Use Restrictions
- Use Upsumi for unlawful, infringing, deceptive, defamatory, abusive, harassing, or fraudulent activity.
- Publish false claims, impersonate others, or misrepresent your affiliation, business, pricing, guarantees, reviews, or qualifications.
- Upload malware, harmful code, spam, or materials that interfere with the service or others' use of it.
- Attempt to probe, scan, bypass, or defeat security or authentication measures, or access data or accounts that do not belong to you.
- Reverse engineer, scrape, reproduce, resell, or exploit the service except as explicitly permitted by applicable law or written authorization.
- Use the service in a way that threatens the stability, integrity, or availability of Upsumi or third-party infrastructure.
8. Automated and AI-Assisted Output
Upsumi may offer automated, template-driven, or AI-assisted suggestions or generated output. Such output may be incomplete, inaccurate, generic, outdated, biased, or unsuitable for your needs.
You are solely responsible for reviewing, editing, validating, and approving any generated output before publishing, relying on it, or using it for legal, commercial, compliance, or customer-facing purposes. Upsumi does not guarantee that automated output is accurate, original, compliant, or fit for any particular purpose.
9. Domains, Integrations, and Third-Party Services
Certain features may depend on third-party services, such as authentication providers, email delivery providers, messaging providers, storage services, domain registrars, DNS providers, or analytics or infrastructure vendors. Your use of those services may also be subject to their separate terms and privacy policies.
If you connect a custom domain, email destination, Telegram destination, or other integration, you represent that you have authority to do so and that the connected resource is lawfully controlled and used by you.
10. Fees and Paid Features
Some parts of Upsumi may be offered free of charge, and some features may become paid or usage-limited. If we introduce paid plans, usage-based billing, or premium features, we will present the applicable pricing and billing terms before you are charged.
If fees apply, you agree to pay all amounts due under the terms presented to you at the time of purchase or renewal. Failure to pay may result in downgrade, suspension, or termination of access to affected features.
11. Upsumi Intellectual Property
Upsumi and its licensors own all rights, title, and interest in the service, including software, design, branding, interfaces, documentation, workflows, and underlying technology, excluding user content.
Subject to these Terms, Upsumi grants you a limited, revocable, non-exclusive, non-transferable right to access and use the service for your internal business purposes.
12. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding Upsumi, you grant Upsumi a worldwide, perpetual, irrevocable, royalty-free right to use, modify, disclose, commercialize, and incorporate that feedback without restriction or compensation.
13. Suspension and Termination
We may suspend or terminate your access to all or part of the service if we reasonably believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the service in a way that may harm Upsumi, our users, our partners, or the public.
You may stop using the service at any time. Upon suspension or termination, your right to use the service ceases immediately, but provisions that by their nature should survive will survive, including provisions on ownership, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.
14. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSUMI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND NON-INTERFERENCE.
Upsumi does not warrant that the service will be uninterrupted, secure, error-free, or available at all times, or that defects will be corrected. Upsumi does not guarantee any business result, conversion rate, sales performance, regulatory compliance, visitor behavior, or content outcome.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSUMI AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF UPSUMI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO UPSUMI FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so portions of this section may not apply to you to the extent prohibited by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Upsumi and its affiliates, licensors, service providers, and personnel from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your landing pages, your leads, your use of the service, your violation of these Terms, or your violation of any law or third-party right.
17. Governing Law and Venue
Unless otherwise required by applicable law, these Terms are governed by the laws that apply in the jurisdiction of the contracting Upsumi entity, without regard to conflict of laws principles, and the courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the service.
18. English Language and Translations
Any translated version of these Terms is provided for convenience only. The English version controls and prevails if there is any conflict, inconsistency, or ambiguity between a translation and the English version.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the service, by email, or by other reasonable means. Your continued use of the service after the updated Terms become effective constitutes acceptance of the updated Terms.
